8. INDEMNIFICATION

9. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Website or these Terms shall be instituted in the courts of the Province of Ontario, and you agree to submit to the personal jurisdiction of such courts.

10. SEVERABILITY

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

11. WAIVER

No waiver by Elevate Mindset Wellness Coaching of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Elevate Mindset Wellness Coaching regarding your use of the Website and supersede all prior and contemporaneous written or oral agreements between you and Elevate Mindset Wellness Coaching.
